Terms of Use

1. Purpose

These Terms of Use govern access to and use of the UniXpanse website and, where applicable, authenticated platform areas (the “Service”). UniXpanse is developing an egocentric-video dataset service: it collects, qualifies, and licenses first-person video datasets for embodied AI and humanoid robotics, subject to rights verification and licensing controls.

A dataset is described as rights-cleared only where it has actually completed UniXpanse’s rights-verification process for the relevant licence. These Terms do not represent that every video, enquiry or dataset presented on the Site has completed that process.

The Service may include:

• the public UniXpanse website;
• professional contact and intake forms for AI companies and laboratories;
• authenticated platform functionality for contributors, buyers, and operations;
• egocentric video upload and processing;
• dataset and licence management;
• buyer access and delivery functionality.

These Terms of Use do not constitute a dataset licence, a transfer of intellectual-property rights, a contributor agreement, a Data Processing Agreement, or a sales contract.

Professional sales and dataset licences are governed by the applicable Terms of Sale and specific contractual documents.

2. Acceptance and scope

These Terms apply differently according to how the Service is used:

• Visitors of the public Site: browsing, cookie choices, and general information;
• Enquirers submitting a public form (laboratories, contributing companies, or general contact);
• Contributors using an authenticated collection account, where one has been created;
• Professional customers / laboratories accessing datasets or commercial functionality;
• Operations personnel using internal tools.

Use of the public Site constitutes acceptance of the provisions applicable to that browsing use.

Where an account, upload, platform access or other authenticated functionality is used, the user agrees to comply with the provisions applicable to that use.

Commercial contracts, contributor agreements, Dataset Licence Agreements, Terms of Sale, order forms and Data Processing Agreements prevail over these Terms of Use where they address the same subject, as set out in Article 17.

3. Access

Public Site functionality is generally available without an account.

Authenticated functionality may require an account and may be restricted according to the user's role and contractual rights.

UniXpanse may temporarily restrict access for:

• maintenance;
• security reasons;
• technical incidents;
• abuse prevention;
• legal requirements;
• breach of contractual terms.

UniXpanse does not guarantee uninterrupted availability.

4. Accounts

Users must provide accurate information where required.

Users are responsible for maintaining the confidentiality of their authentication credentials and must promptly report suspected unauthorised access.

Accounts must not be shared where sharing is prohibited by the applicable access conditions.

UniXpanse may suspend an account where there is a reasonable security, fraud or contractual concern.

5. Uploads and submitted content

Users may only submit egocentric video and related materials that they are legally entitled to submit. UniXpanse is not a public file-hosting service.

Before uploading or submitting content, the user must ensure that they have obtained all rights, permissions, consents and authorisations required for the intended processing and licensing.

This may include rights relating to:

• people visible or audible in recordings;
• workplaces and confidential information;
• objects, signage and third-party works appearing in the footage;
• trademarks;
• personal data.

The user remains responsible, as between the user and UniXpanse, for the legality of the content submitted. That contractual allocation does not determine UniXpanse’s role under data-protection law.

6. Personal data contained in submitted content

Egocentric video, associated audio, or metadata may contain personal data relating to people other than the account holder.

The person submitting such content warrants, as a contractual matter between that person and UniXpanse, that they have an appropriate legal basis for the intended processing and licensing and that required information, authorisations or consents have been obtained.

That warranty does not transfer UniXpanse’s own obligations under the GDPR or other data-protection law, and does not by itself determine whether UniXpanse acts as controller, processor, or in another role. Those roles depend on the processing actually carried out and on the applicable contract, including any Data Processing Agreement.

7. Data ownership and intellectual property

Unless otherwise agreed in writing:

• the user or relevant rights holder retains ownership of submitted content;
• UniXpanse does not acquire copyright merely because content is uploaded;
• UniXpanse receives only the rights necessary to operate the Service and perform the expressly agreed contractual services.

Any licence granted to a buyer is governed by the applicable dataset licence and does not automatically constitute a transfer of ownership.

8. Dataset processing

UniXpanse may process submitted video and related materials for purposes expressly provided for by the Service or applicable contract, including:

• technical processing;
• duration and task metadata extraction;
• quality assessment;
• duplicate detection;
• metadata generation;
• AI-assisted enrichment, where that processing is enabled;
• dataset assembly;
• rights verification;
• delivery preparation.

Where AI-assisted enrichment or transcription is enabled, the categories of data sent to a provider, the provider used, and related retention are described in the Privacy Policy.

AI-generated information may be reviewed, corrected or rejected and does not automatically constitute a legal determination of rights ownership.

9. Prohibited use

Users must not:

• circumvent authentication or access controls;
• access another user's data without authorisation;
• attempt to obtain unauthorised signed URLs;
• overload or disrupt the Service;
• exploit vulnerabilities without authorisation;
• submit malicious files;
• use the Service for unlawful purposes;
• submit third-party personal data without an appropriate legal basis;
• impersonate another person or organisation;
• abuse upload, processing or API functionality;
• extract Site content through automated means beyond reasonable use without authorisation.

10. Security

UniXpanse implements technical and organisational measures appropriate to the risks associated with the Service.

Depending on the functionality concerned, these measures may include:

• server-side access controls;
• authentication controls;
• isolated object storage;
• signed URLs with limited validity;
• job ownership and lease controls;
• rate limiting;
• network-risk signals on sensitive actions;
• logging and monitoring;
• protection against unauthorised access.

No internet service can guarantee absolute security.

11. Third-party services

UniXpanse may rely on third-party infrastructure and service providers.

Their use is subject to the applicable contractual, technical and data-protection framework.

The main categories of providers are described in the Privacy Policy.

12. Intellectual property of UniXpanse

The UniXpanse name, trademarks, software, interfaces, design, texts and other original elements remain the property of UniXpanse or their respective rights holders.

No licence is granted beyond the rights expressly necessary to use the Service.

13. Liability

Information presented on the public Site is provided for general information and does not constitute a guarantee that a particular dataset, volume, contributor, customer or commercial opportunity will be available.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Subject to mandatory law, UniXpanse shall not be liable for indirect losses arising solely from use of the public Site.

14. Changes

UniXpanse may update these Terms to reflect changes to the Service, applicable law or security requirements.

Material changes affecting existing contractual users will be communicated through an appropriate channel where required.

The version applicable to a particular contract is determined according to the contractual documents accepted by the parties.

15. Personal data

Personal-data processing is governed by the Privacy Policy.

16. Governing law

These Terms are governed by French law.

Where mandatory jurisdiction rules apply, those rules prevail.

For professional disputes, jurisdiction is determined in accordance with applicable French procedural law and any valid jurisdiction clause in the applicable contract.

17. Contractual precedence

Where a user enters into a separate agreement with UniXpanse, including a contributor agreement, dataset licence, Terms of Sale, order form, Data Processing Agreement or other specific contractual document, that agreement shall prevail over these Terms of Use to the extent of any inconsistency.

These Terms of Use govern general use of the Service only and do not replace the specific rights and obligations established by such contractual documents.
